RIVN Rivian Automotive: Truist comments on spin-off of micromobility business
Analyst Jordan Levy added, "This morning Rivian (RIVN, Hold) announced a spin-off of a micromobility business aimed at commercializing small electric vehicles (incl. e-bikes, neighborhood EVs, microcars, etc) into the newly formed company named Also, which will launch with $105MM in funding from RIVN and venture cap firm Eclipse (Private). As part of the spin-off/inital investment, RIVN will maintain a minority stake in Also, with RIVN executive Chris Yu leading the new company and RIVN CEO RJ Scaringe holding a seat on Also's board. With Also planning to launch its flagship consumer product this Fall, in our view it's too early to gauge what this could mean long-term for RIVN and would view the minority stake as long-term option value on the micromobility market at this stage."
Also will focus on small, lightweight vehicles that are designed to meet the global mobility transportation challenges of today and tomorrow.
Recognizing the massive need for small electric form factors in enabling the sustainable transition of our global transportation system, Rivian started a stealth program focused on micromobility several years ago. The goal of this initial effort was to examine how Rivian's strength in software, electronics and electric propulsion could be applied to create an advantaged cost structure and greatly enhanced product relative to currently available offerings. As these efforts advanced, it became clear that Rivian's approach had the potential to unlock a large opportunity that deserved to be its own company, optimized around different products, brand positioning and markets.
Rivian retains a substantial minority ownership stake in Also and expects opportunities for future collaboration, which may include selectively using some of Rivian's retail footprint. In connection with the spin-off, Also secured a $105 million investment from the venture capital fund, Eclipse Ventures, which will support Also's next phase of growth. Rivian Founder and CEO RJ Scaringe will serve on Also's Board of Directors as its Chairman.

HOND HCM II Acquisition Corp: Terrestrial Energy to become first publicly traded molten salt nuclear reactor developer through combination with HCM II Acquisition Corp. (HOND is halted)
The cos announced an agreement for a business combination that will result in Terrestrial Energy becoming a public company to be listed on Nasdaq under the ticker symbol "IMSR".
The Transaction will provide approximately $280 million in gross proceeds to accelerate commercial deployment of Terrestrial Energy's IMSR technology and to pay transaction expenses. The $230 million of gross proceeds consists of $50 million in common stock PIPE commitments at $10.00 per share from new non-affiliated fundamental institutional investors, and approximately $230 million of cash held in HCM II's trust account (before giving effect to potential redemptions). The Transaction values Terrestrial Energy at a pre-money equity value of $925 million, which is a significant discount to publicly traded comparable SMR peers, providing an attractive entry point for HCM II shareholders. It also implies a pro-forma enterprise value of the new public company of approximately $1 billion and a pro-forma equity value of approximately $1.3 billion (each assuming no redemptions and anticipated PIPE proceeds). Terrestrial Energy's existing management team will continue to lead the company following the completion of the Transaction. All Terrestrial Energy shareholders will roll 100% of their equity holdings into the new public company. Additionally, Terrestrial Energy's management team, Terrestrial Energy's primary shareholders, HCM II's sponsor and certain affiliates of HCM II's sponsor have committed to customary lock-ups. The proposed Transaction was unanimously approved by the Boards of Directors of HCM II and Terrestrial Energy.
Completion of the proposed Transaction is anticipated to occur in the fourth quarter of 2025 subject to customary closing conditions.
